1. Agreement to Terms

Welcome to Youth Partners Collective ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our platform, including our website, Erasmus Hub application, and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. Please read them carefully before proceeding.

2. Description of Services

Youth Partners Collective provides a collaborative platform designed to facilitate partnerships and cooperation among organizations participating in Erasmus+ youth programs. Our Services include:

• A partner hub for onboarding and document management
• Tools for project planning and consortium coordination
• Communication features between network members
• Resources and guidance for Erasmus+ project applications
• Administrative tools for managing partnership activities

3. Eligibility and Account Registration

3.1 Eligibility

To use our Services, you must:

• Be at least 18 years old or have the legal capacity to enter into binding contracts
• Represent an organization eligible for Erasmus+ participation (NGO, informal youth group, or similar)
• Have received an invitation from Youth Partners Collective to register
• Provide accurate and complete information during registration

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Create a strong, unique password for your account
• Not share your login credentials with others
• Notify us immediately of any unauthorized access to your account
• Keep your account information accurate and up-to-date

4. Acceptable Use

When using our Services, you agree to:

• Use the platform only for legitimate Erasmus+ partnership activities
• Provide accurate, truthful, and complete information
• Respect the intellectual property rights of others
• Maintain professional and respectful communication with other users
• Comply with all applicable laws and regulations

4.1 Prohibited Activities

You may not use our Services to:

• Upload false, misleading, or fraudulent documents or information
• Impersonate another person or organization
• Interfere with or disrupt the platform's functionality
• Attempt to gain unauthorized access to other users' accounts or data
• Use automated tools, bots, or scrapers without our permission
• Transmit viruses, malware, or other harmful code
• Engage in any activity that violates Erasmus+ programme rules
• Harass, abuse, or harm other users

5. User Content

5.1 Ownership

You retain ownership of any content you upload or submit to the platform ("User Content"). By uploading content, you grant us a limited, non-exclusive license to use, display, and process such content solely for the purpose of providing our Services.

5.2 Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent and warrant that:

• You have the right to upload and share the content
• The content does not infringe on any third-party rights
• The content complies with all applicable laws
• Documents submitted accurately represent your organization

5.3 Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

6. Intellectual Property

The Services and all associated content, features, and functionality (including but not limited to text, graphics, logos, icons, and software) are owned by Youth Partners Collective and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of our Services without our prior written consent.

7. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our Services, you consent to the data practices described in our Privacy Policy.

8. Partnership Commitments

As a member of the Youth Partners Collective network, you agree to:

• Complete the onboarding process within the specified deadline
• Maintain accurate organization information throughout your membership
• Respond promptly to partnership inquiries and communications
• Honor commitments made to project consortiums
• Adhere to Erasmus+ programme quality standards
• Participate in good faith in collaborative activities

Failure to meet these commitments may result in suspension or termination of your account.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind. We do not guarantee that:

• The Services will be uninterrupted or error-free
• Any defects or errors will be corrected
• The Services will meet your specific requirements
• Partnerships formed through the platform will be successful

Youth Partners Collective does not guarantee approval of Erasmus+ funding applications. We provide tools and support for collaboration, but final funding decisions rest with the relevant National Agencies and the European Commission.

10. Limitation of Liability

To the fullest extent permitted by law, Youth Partners Collective and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or goodwill
• Service interruption or system failure
• Costs of procuring substitute services
• Any matters beyond our reasonable control

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amounts paid by you to us (if any) in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Youth Partners Collective and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at contact@youthpartnerscollective.com. Upon termination, your access to the Services will be revoked.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, including if we reasonably believe that you have violated these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may retain your data as required by law or for legitimate business purposes
• Provisions that by their nature should survive will remain in effect

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Updating the "Last updated" date at the top of this page
• Sending you an email notification (for registered users)
• Displaying a prominent notice on our platform

Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable member state where Youth Partners Collective operates, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Services shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation, if negotiation is unsuccessful
3. Binding arbitration or court proceedings, as a last resort

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Youth Partners Collective regarding the Services.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
